(Reference is made to Hektar REIT’s announcements dated 10 June 2016, 5 September 2016, 9 January 2017, 14 February 2017, 20 February 2017 and 13 April 2017 in relation to the Proposals (“Announcements”). Unless otherwise stated, all abbreviations used herein shall have the same meanings as those used in the Announcements.)

On behalf of the Board, Maybank IB wishes to announce that Bursa Securities had, vide its letter dated 18 May 2017, approved the Listing Application.

The approval granted by Bursa Securities is subject to, among others, the following conditions:

(i) Hektar REIT and Maybank IB must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposals;

(ii) Hektar REIT and Maybank IB to inform Bursa Securities upon the completion of the Proposals;

(iii) Hektar REIT to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed;

(iv) Hektar REIT to furnish Bursa Securities with a certified true copy of the resolutions passed by the Unitholders at the Unitholders’ Meeting approving the Proposals; and

(iv) Payment of additional listing fee based on the final issue price of the Rights Units, Manager’s Units and Management Fee Units together with the copy of the computation of the amount of listings fees payable, if relevant.
