The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposals.

We refer to the announcements dated 12 September 2023, 7 December 2023, 21 December 2023, 4 March 2024, 26 March 2024, 27 May 2024 and 26 June 2024 in relation to the Acquisition and Lease.

On behalf of the Board, UOBKH wishes to announce that following the fulfilment and/or waiver of the Conditions Subsequent by the parties to the SPA, as well as the satisfaction of the remaining balance sum of the Purchase Consideration to-date, the completion of the Acquisition and Lease shall accordingly be deemed to have taken place on 11 July 2024.
